TERMS AND CONDITIONS
1. Contractual Relationship
These Terms of Use (“Terms”) govern your access and use of the applications, websites, content, products, and services (“Services”) provided by “Txy.co” (“Company”). Please read these Terms carefully before using the Services. By accessing or using the Services, you agree to be bound by these Terms, forming a contractual relationship with the Company. If you do not agree, do not access or use the Services. These Terms replace any previous agreements or arrangements with you.
The Company reserves the right to terminate these Terms or any Services at any time for any reason. Additional terms may apply to certain Services, such as policies for specific events, activities, or promotions, and will be disclosed to you in connection with the applicable Services. These additional terms are supplementary to these Terms and will prevail in case of any conflict regarding the applicable Services.
The Company may update these Terms occasionally. Such amendments will take effect upon the Company’s posting of the updated Terms at this location or on the respective Service. Your continued use of the Services after such updates implies your consent to the revised Terms.
Our collection and use of personal information related to the Services are outlined in the Company’s Privacy Policy. The Company may share your information with a claims processor or insurer if necessary to resolve a complaint, dispute, or conflict, such as an accident involving you and a third-party provider.
2. The Services
The Services offered by “Txy.co” are a technology platform that allows users to arrange and schedule transportation and logistics services through the company’s mobile applications or websites (each an “Application”). These services are provided by independent third-party providers, including transportation and logistics providers who have agreements with “Txy.co” or its affiliates (“Third Party Providers”). Unless otherwise agreed upon in a separate written agreement with “Txy.co”, the Services are for your personal, non-commercial use only.
Acknowledgement: You acknowledge that “Txy.co” does not provide transportation or logistics services directly and does not function as a transportation carrier. All transportation and logistics services are provided by independent contractors who are not employed by “Txy.co” or its affiliates.
License: Subject to your compliance with these Terms, “Txy.co” grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to: (i) access and use the Applications on your personal device solely for using the Services; and (ii) access and use any content, information, and related materials available through the Services, strictly for personal, non-commercial use. All other rights are reserved by “Txy.co” and its licensors.
Restrictions: You may not: (i) remove any copyright, trademark, or other proprietary notices from any part of the Services; (ii) reproduce, modify, create derivative works from, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise exploit the Services except as expressly permitted by “Txy.co”; (iii) decompile, reverse engineer, or disassemble the Services, except as allowed by applicable law; (iv) link to, mirror, or frame any portion of the Services; (v) launch any programs or scripts for scraping, indexing, surveying, or otherwise data mining any part of the Services, or unduly burdening or hindering the operation or functionality of any part of the Services; (vi) attempt to gain unauthorized access to or impair any aspect of the Services or its related systems or networks.
Provision of Services: You acknowledge that parts of the Services may be available under “Txy.co”’s various brands or request options, which may include transportation or logistics options. These brands or request options may include those currently known as “TXY Bike,” “TXY Rickshaw,” “TXY Go,” “TXY Premier,” “TXY Auto,” “TXY Hire,” “TXY Moto,” “TXY POP,” “TXY X,” “TXY XL,” “TXY Black,” “TXY SUV,” “TXY Berline,” “TXY Van,” “TXY Exec,” “TXY Lux,” and others. The Services may also be offered by or in connection with certain “Txy.co” subsidiaries, affiliates, or independent third-party providers, including drivers with various transportation permits and licenses.
Third-Party Services and Content: The Services may include access to third-party services and content (including advertising) not controlled by “Txy.co”. You acknowledge that different terms of use and privacy policies may apply to your use of these third-party services and content. “Txy.co” does not endorse such third-party services and content and is not liable for any products or services of these third parties. If you access the Services using applications developed for Apple iOS, Android, Microsoft Windows, or Blackberry-powered devices, Apple Inc., Google Inc., Microsoft Corporation, or BlackBerry Limited and/or their applicable international subsidiaries and affiliates will be third-party beneficiaries to this contract. These third parties are not parties to this contract and are not responsible for providing or supporting the Services in any manner. Your access to the Services using these devices is subject to the terms set forth in the applicable third-party beneficiary’s terms of service.
Ownership: The Services and all rights therein are and shall remain the property of “Txy.co” or its licensors. Neither these Terms nor your use of the Services grant you any rights: (i) in or related to the Services except for the limited license granted above; or (ii) to use or reference in any manner “Txy.co”’s company names, logos, product and service names, trademarks, or service marks, or those of “Txy.co”’s licensors.
3. Your Use of the Services
USER ACCOUNTS
To access most features of the Services, you need to register and maintain an active personal user account (“Account”). You must be at least 18 years old or the legal age of majority in your jurisdiction to create an Account. Registration requires providing accurate personal information such as your name, address, mobile number, age, and at least one valid payment method (credit card or accepted payment partner). You must keep your Account information current and accurate. Failing to do so, including having an expired or invalid payment method, may result in restricted access to the Services or termination of these Terms by “Txy.co”. You are responsible for all activities under your Account and must maintain the confidentiality of your username and password. Unless otherwise permitted by “Txy.co”, you may only have one Account.
USER REQUIREMENTS AND CONDUCT
The Services are not available to individuals under 18. You cannot authorize others to use your Account or allow anyone under 18 to receive transportation or logistics services from third-party providers unless they are with you. Your Account cannot be transferred or assigned to another person or entity. You agree to comply with all applicable laws while using the Services and use them only for lawful purposes. You must not cause nuisance, annoyance, inconvenience, or property damage to third-party providers or others during your use of the Services. Proof of identity may be required to access or use the Services, and failure to provide such proof may result in denial of access or use.
TEXT MESSAGING
By creating an Account, you agree to receive informational text (SMS) messages as part of the normal operation of the Services. You can opt-out of receiving these messages at any time by emailing support@txy.co with your mobile number. Note that opting out may impact your use of the Services.
PROMOTIONAL CODES
“Txy.co” may create promotional codes (“Promo Codes”) that can be redeemed for Account credits or other features and benefits. Promo Codes must be used for their intended purpose and audience and in a lawful manner. They cannot be duplicated, sold, or transferred and may be disabled by “Txy.co” at any time. Promo Codes are subject to specific terms set by “Txy.co”, are not valid for cash, and may expire before use. “Txy.co” reserves the right to withhold or deduct credits or other benefits obtained through Promo Codes if deemed in error, fraudulent, illegal, or against Promo Code terms or these Terms.
USER PROVIDED CONTENT
“Txy.co” may allow you to submit, upload, or publish content such as feedback, support requests, or competition entries (“User Content”). User Content remains your property, but by providing it to “Txy.co”, you grant “Txy.co” a worldwide, perpetual, irrevocable, transferrable, royalty-free license to use, copy, modify, distribute, and display the User Content in any manner and on any platform. You represent and warrant that you own or have the necessary rights to the User Content and that it does not violate any third-party rights or applicable laws. User Content must not be defamatory, hateful, violent, obscene, unlawful, or otherwise offensive. “Txy.co” may review, monitor, or remove User Content at its sole discretion.
NETWORK ACCESS AND DEVICES
You are responsible for obtaining the data network access needed to use the Services. Your mobile network’s data and messaging rates may apply, and you are responsible for such charges. You must acquire and update compatible hardware or devices necessary to access and use the Services and Applications. “Txy.co” does not guarantee that the Services will function on any particular hardware or devices and is not responsible for any malfunctions or delays due to internet or electronic communications.
4. Payment
Charges
You acknowledge that using the Services may result in charges for the services or goods provided by a Third-Party Provider (“Charges”). After receiving services or goods through the Services, “Txy.co” will facilitate your payment of the applicable Charges on behalf of the Third-Party Provider as their limited payment collection agent. This payment method is considered equivalent to paying the Third-Party Provider directly. Charges will include applicable taxes where required by law. “Txy.co” reserves the right to charge additional fees for services like pickup facilities, inclusive of applicable taxes.
Payment Process
Charges are final and non-refundable unless otherwise determined by “Txy.co”. You have the right to request a reduction in Charges from a Third-Party Provider for services or goods received at the time of provision. “Txy.co” will respond to any such requests to modify Charges as appropriate. All Charges are due immediately and will be facilitated by “Txy.co” using the preferred payment method specified in your Account. A receipt will be sent to you via email after payment. If your primary payment method is expired, invalid, or cannot be charged, you agree that “Txy.co” may use a secondary payment method available in your Account.
Pricing and Adjustments
“Txy.co” reserves the right to establish, remove, and revise Charges for any or all services or goods obtained through the Services at any time at its sole discretion. You acknowledge that Charges in certain geographical areas may significantly increase during high demand periods. “Txy.co” will make reasonable efforts to inform you of applicable Charges, but you are responsible for Charges incurred under your Account regardless of your awareness of such Charges.
Promotions and Discounts
“Txy.co” may offer promotional codes, subscriptions, or discounts that provide Account credits or other benefits. These offers are subject to specific terms and are non-transferable, non-refundable, and may be disabled at any time. Promotional offers may result in different Charges for the same or similar services or goods and do not affect the Charges applied to you unless made available to you.
Cancellations
You may cancel your request for services or goods from a Third-Party Provider at any time before their arrival, potentially incurring a cancellation fee.
Gratuities
“Txy.co” does not designate any portion of your payment as a tip or gratuity. Any suggestion that tipping is “voluntary,” “not required,” or “included” does not imply additional payments to the Third-Party Provider. You are free to offer gratuities but are under no obligation to do so. Gratuities are voluntary, and after receiving services or goods, you can rate your experience and provide feedback about the Third-Party Provider.
Repair or Cleaning Fees
You are responsible for the cost of repairs or cleaning for damage to or excessive soiling of Third-Party Provider vehicles and property resulting from your use of the Services. If a Third-Party Provider reports the need for repair or cleaning, and “Txy.co” verifies the request, “Txy.co” reserves the right to facilitate payment for the reasonable costs using your payment method on file. These amounts will be transferred to the applicable Third-Party Provider and are non-refundable.
5. Disclaimers; Limitation of Liability; Indemnity
DISCLAIMER
The Services are provided on an “as is” and “as available” basis. “Txy.co” disclaims all representations and warranties, whether express, implied, or statutory, not explicitly mentioned in these Terms. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. “Txy.co” does not guarantee the reliability, timeliness, quality, suitability, or availability of the Services, or that they will be uninterrupted or error-free. “Txy.co” does not ensure the quality, safety, or ability of third-party providers. You agree that the entire risk arising from your use of the Services remains solely with you, to the maximum extent permitted by law.
LIMITATION OF LIABILITY
“Txy.co” shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, personal injury, or property damage related to, in connection with, or otherwise resulting from any use of the Services, even if “Txy.co” has been advised of the possibility of such damages. “Txy.co” is not liable for any damages, liabilities, or losses arising out of: (i) your use of or reliance on the Services or your inability to access or use the Services; or (ii) any transaction or relationship between you and any third-party provider, even if “Txy.co” has been advised of the possibility of such damages. “Txy.co” is not liable for delays or failures in performance resulting from causes beyond its reasonable control. You acknowledge that third-party transportation providers may offer ridesharing or peer-to-peer transportation services and may not be professionally licensed or permitted. In no event shall Txy.co’s total liability to you in connection with the Services exceed five hundred USD ($500). The Services may be used to request and schedule transportation, goods, or logistics services with third-party providers, but you agree that “Txy.co” has no responsibility or liability to you related to any such services provided by third-party providers, except as explicitly stated in these Terms. These limitations do not limit liability or alter your rights as a consumer that cannot be excluded under applicable law.
INDEMNITY
You agree to indemnify and hold “Txy.co” and its officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys’ fees) arising from or in connection with: (i) your use of the Services or services or goods obtained through your use of the Services; (ii) your breach or violation of these Terms; (iii) Txy.co’s use of your User Content; or (iv) your violation of the rights of any third party, including third-party providers.
6. Governing Law; Arbitration
Governing Law
These Terms are governed by and construed in accordance with the laws of Pakistan, except as otherwise set forth in these Terms.
Dispute Resolution
Any dispute, conflict, claim, or controversy arising out of or broadly in connection with or relating to the Services or these Terms, including their validity, interpretation, or enforceability (“Dispute”), shall first be submitted to mediation under Pakistani law. If the Dispute is not resolved within sixty (60) days of the mediation request, it shall be resolved by arbitration under the Arbitration and Conciliation Act. The Dispute will be settled by one (1) arbitrator appointed according to the Act. The mediation and arbitration will take place in Pakistan, and the language will be English, or in English and your native language if you do not speak English.
Confidentiality
The existence, content, and details of the mediation and arbitration proceedings, including documents and briefs submitted by the parties, any correspondence from the mediator, and orders and awards issued by the arbitrator, will remain strictly confidential. This confidentiality will not be disclosed to any third party without the express written consent of the other party, unless: (i) necessary for conducting the mediation or arbitration proceedings; and (ii) the third party agrees in writing to maintain the confidentiality stipulated herein.
7. Other Provisions
Claims of Copyright Infringement
If you believe your copyright has been infringed, please send your claim to “Txy.co”’s designated agent. Visit “Txy.co”’s legal webpage for the designated address and additional information.
Notice
“Txy.co” may provide notice through general notifications on the Services, via email to the email address registered in your Account, or by written communication to the address in your Account. You may send notices to “Txy.co” through written communication to “Txy.co”’s designated address.
General Provisions
You cannot assign or transfer these Terms, in whole or part, without “Txy.co”’s prior written consent. “Txy.co” may assign or transfer these Terms, in whole or part, to: (i) a subsidiary or affiliate; (ii) an acquirer of “Txy.co”’s equity, business, or assets; or (iii) a successor by merger. No joint venture, partnership, employment, or agency relationship exists between you, “Txy.co”, or any third-party provider due to these Terms or your use of the Services.
If any part of these Terms is found to be illegal, invalid, or unenforceable under any law, that part will be deemed not to form part of these Terms. The legality, validity, and enforceability of the remaining provisions in these Terms will not be affected. The parties will replace the illegal, invalid, or unenforceable provision with a legal, valid, and enforceable provision that has, to the greatest extent possible, a similar effect as the original provision, given the content and purpose of these Terms.
These Terms constitute the entire agreement and understanding between the parties regarding their subject matter and replace all prior or contemporaneous agreements or undertakings regarding such subject matter. The words “including” and “include” in these Terms mean “including, but not limited to.”
Guidelines for Law Enforcement Authorities
These guidelines inform law enforcement about the legal process for seeking records from “Txy.co”. These guidelines may change at any time. For private party requests, such as from civil litigants and criminal defendants, please refer to the Guidelines for Third Party Data Requests.
What Records We Have
“Txy.co” connects users (riders) with driver partners who provide transportation. “Txy.co” is not a transportation carrier and does not employ drivers. Users can request transportation via the “Txy.co” App on their smartphone, the web, or SMS. At the end of each ride, both the driver partner and the user receive a fare receipt. More information about our services is available on our website. We store and maintain information as described in our Privacy Statements and Terms of Use.
Legal Process Requirements
For U.S. law enforcement, a valid and sufficient legal process is required before “Txy.co” can disclose business records regarding partners, users, or trips. In most cases, information cannot be provided without a valid subpoena, court order, or search warrant. Law enforcement requests can be sent via email or personal service to our corporate agent. Acceptance of legal process does not waive any legal objections “Txy.co” may have.
For non-U.S. law enforcement, business records are disclosed only in accordance with our Terms of Service and applicable law. A valid U.S. court order (via mutual legal assistance treaty, mutual legal assistance agreement, or letter rogatory) may be required to compel disclosure of certain records. Non-U.S. requests can be sent via email or personal service to the specified address. Acceptance of legal process does not waive any legal objections “Txy.co” may have.
Processing Requests
To process a request, we need the applicable legal process and a valid return email address from an official government domain. We review each request for validity and will reject requests that are overly broad, vague, or unduly burdensome. Requests should include a narrowly defined time period, a specific event or action, and a unique identifier for the user or driver partner.
Handling Emergency Requests
We have a process for evaluating emergency requests involving the protection of users, driver partners, third parties, or stopping illegal activity that poses an immediate threat of death or serious bodily harm. Emergency requests must be submitted with detailed information about the nature of the emergency. We review these requests on a case-by-case basis and only respond to emergency requests from law enforcement.
Notification of Law Enforcement Requests
We may notify individuals of a law enforcement request for their information, unless prohibited by law or in exceptional circumstances such as emergencies. Law enforcement officials who believe that notification would jeopardize an investigation should obtain an appropriate court order.
Certificate of Authentication and Expert Testimony
We may provide a certification from our records custodian but are generally not able to provide in-person or expert witness testimony. Law enforcement officials with questions about these guidelines should email the designated address for inquiries. Non-law enforcement inquiries will not be responded to at this email address.
